Mr. Charles E. Bayless
Mr. Bayless is past Chairman, President and CEO of Illinova Corporation, which he helped merge with Dynegy Inc. in February 2000 to create a $10 billion dollar global energy company. Mr. Bayless currently serves as a member of the Board of Directors of Dynegy. From 1992 to 1998, Mr. Bayless served as Chairman, President and CEO of Unisource Energy. Long recognized as one of the industry's most respected leaders, Mr. Bayless has received multiple business leadership awards and in 1996 was voted by his peers in the power industry as CEO of the Year in Financial World magazine. In addition to his accomplishments in the private sector, Mr. Bayless is respected as a significant thought leader and an authority on industry policy. Mr. Bayless has served as an expert witness before the U.S. Congress on issues related to the energy industry, and has published numerous articles about electric competition and energy policy in national and trade publications. Mr. Bayless also serves on the Boards of several energy and energy related technology companies including Edison Electric Institute, Patina Oil & Gas, Trigen Energy, EPRI (Electric Power Research Institute), InSite Services, Selectrica and Thermon Corporation. He is currently the President of West Virginia University Institute of Technology.

Mr. Phillip Carroll
Phillip Carroll is the former chairman and chief executive officer of Fluor Corporation, and the former president and chief executive officer of Shell Oil Company. Mr. Carroll joined Fluor, based in Aliso Viejo, California, in 1998 and retired in early 2002. Prior to joining Fluor, Mr. Carroll served 37 years with Shell Oil Company, headquartered in Houston. He joined Shell as a petroleum engineer and held positions in every major division during his career. He was elected president and chief executive officer of Shell Oil Company in 1993 and retired in 1998. Active in a variety of professional and civic organizations, Mr. Carroll serves on the boards of American Express Funds, Vulcan Materials Company, Scottish Power, in Glasgow, Scotland, and the Texas Medical Center. He is a member of the board of the American Air Museum in Britain, the National Petroleum Council, as well as an honorary life member of the American Petroleum Institute.

Dr. Alan J. Heeger
Dr. Heeger won the 2000 Nobel Prize for his pioneering work in materials science and electrically conductive polymers with direct commercial applications in the energy technology and electronics sectors. Currently, he is Professor of Physics and Material Engineering at the University of California at Santa Barbara. In addition to his scientific achievements, Dr. Heeger has a distinguished background as an entrepreneur. He was the Founder of Uniax Corporation, which commercialized his work on conductive polymers and was subsequently sold to DuPont in March of 2000, and currently serves on the Board of three early stage technology companies. Prior to joining the UCSB faculty in 1982, Dr. Heeger was a Professor at the University of Pennsylvania from 1967-1982. During that period, he also served from 1978-81 as the Director of the Laboratory for Research on the Structure of Matter at the University of Pennsylvania, and from 1981-82 served as the Acting Vice-Provost for Research at the University of Pennsylvania.

Honorable Bennett Johnston
Mr. Johnston represented Louisiana in the U.S. Senate from 1972 - 1997 and was Chairman of the Committee on Energy and Natural Resources and of the Democratic Senatorial Campaign Committee. Currently, he is the Chairman of Johnston & Associates, LLC, a business consulting firm and the Chairman of Johnston Development Co. LLC, a project development firm, and also served on the Board of Directors of the Chevron Corporation.

Dr. Ernest Moniz
Dr. Moniz is currently Professor of Physics at the Massachusetts Institute of Technology (MIT). Most recently, he served as Under Secretary of the Department of Energy advising the Secretary and overseeing the U.S. Department of Energy's $7 billion research and development portfolio (energy and environmental technologies, national security, and fundamental science) as well as the national laboratory system (22 labs and over 50,000 people). Prior to joining the DOE, Dr. Moniz was Head of the Department of Physics at MIT, served as the Associate Director for Science in the Office of Science and Technology Policy in the Executive Office of the President, and served as the Director of the Bates Linear Accelerator Center. His principal research interests are in theoretical nuclear physics. Dr. Moniz has served numerous universities, national laboratories, professional societies, and government agencies in advisory roles. He is a Fellow of the American Association for the Advancement of Science, the Humboldt Foundation and the American Physical Society.

Chuck Watson
Mr. Watson is Chairman of Eagle Energy Partners, an energy services and marketing company. Mr. Watson was the chairman and chief executive officer of Houston-based Dynegy Inc. He established Natural Gas Clearinghouse Corp., Dynegy's predecessor, in 1985 and served as chairman and CEO until his departure in May of 2002. Mr. Watson is also the owner of the AHL Houston Aeros hockey franchise and minority owner and board member of the NFL Houston Texans. Mr. Watson has served on the boards of the Independent Petroleum Association of America (IPAA), Natural Gas Supply Association (NGSA), Interstate Natural Gas Association of America (INGAA), Edison Electric Institute (EEI), Natural Gas Council (NGC) and is currently on the board of Baker Hughes. He is also on the board of the Baylor College of Medicine and a member of the Governors Business Council.

Mr. Willis B. Wood, Jr.
Mr. Wood is the retired Chairman and CEO of Pacific Enterprises, a holding company whose major subsidiary Southern California Gas Company, merged with Enova Corporation to form Sempra Energy in June, 1998. He is a Trustee of the University of Southern California; Trustee of Harvey Mudd College Board of Trustees; Trustee of the John Randolph Haynes and Dora Haynes Foundation; a Director on the Board of Washington Mutual, Inc.; Chairman of the American Automobile Association; and a member of the Society of Petroleum Engineers. Prior to retirement, he served as a Director of the California Chamber of Commerce, the Los Angeles Business Advisors, the Los Angeles World Affairs Council, and past Chairman of the Business Council for a Sustainable Energy Future.

Mr. Frank Zarb
Mr. Zarb is a Managing Director and Senior Advisor at Hellman & Friedman. Prior to joining Hellman & Friedman in 2002, Mr. Zarb was Chairman and CEO of NASD, Inc. and the Nasdaq Stock Market. Previously, Mr. Zarb was a Vice Chairman and Group Chief Executive of The Travelers, Inc. and Chairman and Chief Executive Officer of Smith Barney, a Travelers subsidiary and before that worked as a Senior Partner of Lazard Freres & Co. He has served in various assignments with the Nixon, Ford, Reagan, Bush, and Clinton administrations. Mr. Zarb was the senior official for all United States government energy-related activities, serving as Executive Director of the Cabinet-level Energy Resources Council, Administrator of the Federal Energy Administration, and Assistant to the President for Energy Affairs. He led the nation's energy response to the first major oil embargo. He also served as Chairman of the Long Island Power Authority, the State agency responsible for overseeing the restructuring of the electric power system of Long Island and served on the board of the electric power utility Florida Power and Light. Mr. Zarb has held a number of board positions in the financial services sector including American International Group, where he served as Interim Chairman and Lead Director, and Credit Suisse First Boston. Mr. Zarb is a director of Lower Manhattan Development Corporation a member of the Board of Trustees of the Gerald R. Ford Foundation.
